AI Accuracy Lab Pty Ltd ACN 703 129 784, ABN 37 703 129 784 trading as AI Accuracy Lab

Contact: customerservice@aiaccuracylab.com

1. About these Terms.

1.1 These Terms of Service (Terms) govern your access to and use of the AI Accuracy Lab website at aiaccuracylab.com, platform, exercises, certificates and related services (together, the Services), provided by AI Accuracy Lab Pty Ltd (ACN 703 129 784) trading as AI Accuracy Lab (AI Accuracy Lab, we, us, our).

1.2 By creating an account, clicking “I agree”, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you confirm that you are authorised to bind that organisation, and “you” includes that organisation.

1.3 Please read clauses 6 (Educational purpose), 17 (No warranties), 18 (Your rights under the Australian Consumer Law), 19 (Limitation and exclusion of liability) and 20 (Indemnity) carefully. They limit our responsibilities to you.

2. Definitions.

2.1 In these Terms:

(a) ACL means the Australian Consumer Law in Schedule 2 to the Competition and Consumer Act 2010 (Cth).

(b) Consumer means a person who acquires the Services as a “consumer” within the meaning of the ACL.

(c) Custom Lab means the feature that lets eligible Instructors upload or paste material so that an AI provider can generate a training exercise with planted errors.

(d) Customer means the person or Organisation that has an account with us and, where applicable, pays the Fees.

(e) Customer Content means all documents, text, data and other material that you or your Users upload, paste, submit or create on the Services (including through Custom Lab), and outputs generated from that material for you.

(f) Fees means the fees for the Services set out on our pricing page, in your Order Form or in an invoice.

(g) Instructor means a teacher, lecturer, trainer or other person authorised by an Organisation to manage cohorts or classes or create exercises.

(h) Order Form means an order form, quote, statement of work or institutional agreement signed or accepted by AI Accuracy Lab and an Organisation that refers to these Terms.

(i) Organisation means a school, university, law firm, company or other entity that obtains the Services for its students, staff or subscribers.

(j) Platform Content means everything we provide on the Services other than Customer Content, including exercises, scenarios, fictional authorities, rubrics, explanations, text, graphics, software and certificates.

(k) Privacy Notice means our Privacy Notice published on our website, as updated from time to time.

(l) School Student means a primary or secondary school student who uses the Services through a class set up by their school or teacher.

(m) User means any individual who accesses the Services, including through an Organisation’s account.

3. When an organisation agreement applies.

3.1 If you are an Organisation and have signed an Order Form with us, the Order Form and these Terms together form the agreement between us. If there is any inconsistency, the following order of precedence applies (highest first) to the extent of the inconsistency:

(a) any data processing or privacy schedule agreed in writing;

(b) the Order Form (including any special conditions);

(c) these Terms; and

(d) the Privacy Notice and any other policies referred to in these Terms.

3.2 Terms in any purchase order or vendor registration form issued by an Organisation do not apply unless we expressly agree to them in writing.

4. Eligibility and accounts.

4.1 School Students. A School Student may use the Services only through a class set up by their school or teacher.

4.2 Institutional accounts. An Organisation may create an institutional account, appoint administrators and Instructors, and invite Users. The Organisation is responsible for:

(a) the acts and omissions of its administrators, Instructors and Users in using the Services;

(b) ensuring its Users comply with these Terms; and

(c) deciding who is given access, and promptly removing access for Users who should no longer have it.

4.3 Sign-in. Adult Users sign in by email and password or by an emailed sign-in link. School Students sign in with a first name (or nickname) and a class code. You must keep your password, sign-in links and class codes confidential and tell us promptly at customerservice@aiaccuracylab.com if you believe they have been compromised. You are responsible for activity on your account, except to the extent caused by our breach of these Terms or our negligence.

4.4 Accurate information. You must give us accurate account and billing information and keep it up to date.

5. The Services.

5.1 What we provide. The Services include training exercises in which errors (including fictional cases, legislation and other authorities) are deliberately planted for learners to identify; organisation, cohort and class management; dashboards and CSV export; certificates of completion; and, for eligible paid subscriptions, Custom Lab.

5.2 Custom Lab review. Exercises generated in Custom Lab are produced by an AI provider. An Instructor must review each generated exercise before publishing it to learners, and the Organisation is responsible for the exercises it publishes.

5.3 Changes to the Services. We may change, add or remove features from time to time. If we make a change that materially reduces the core functionality of a paid subscription during a paid subscription period, you may cancel your subscription.

5.4 Beta features. We may offer features labelled “beta”, “preview” or similar. These are provided for evaluation, may change or be withdrawn, and may be less reliable than other features.

5.5 Future integrations. Where we make available integrations with learning management systems (for example via LTI 1.3 with Canvas, Blackboard, Moodle or Brightspace) or single sign-on, additional terms may be set out in the Order Form or integration documentation.

5.6 Heat-map. Heat-map has a monthly page limit. Basic subscriptions include 50 pages a month. Pro subscriptions include 500 pages a month, including the Heat-map Chrome extension. A single check can be at most 100 pages. Your allowance resets each month on the date your subscription started, and unused pages don’t carry over. Organisation licences include 50 pages a month per user.

5.7 Heat-map Unlimited add-on. Heat-map Unlimited is an optional add-on for any subscription or Organisation licence. It covers the website and the Heat-map Chrome extension. While it is active, your Heat-map allowance is 2,000 pages a month in total under a fair use limit. This replaces your plan’s monthly page allowance and does not add to it. A single check can be at most 100 pages. The allowance resets each month and unused pages don’t carry over.

6. Educational purpose and important disclaimers.

6.1 Training only. The Services are an educational training tool. They are designed to help Users practise identifying errors in AI-generated content.

6.2 Exercises contain deliberate errors and fictional content. Exercises deliberately contain false, fictional or erroneous material, including invented cases, citations, legislation, quotations and facts. You must not rely on, cite or use any exercise content as a real legal authority or as a statement of the law.

6.3 Not legal advice. Nothing in the Services is legal advice or a substitute for professional judgment, independent research or verification of sources. Lawyers and students remain responsible for verifying any AI output or legal authority they use in practice, study or assessment.

6.4 AI output may be wrong. The Services use third-party AI models. AI output (including Custom Lab exercises, explanations and answer keys) may be inaccurate, incomplete, inconsistent or inappropriate, and may contain errors other than those intended.

6.5 Certificates. Certificates show only that a User completed particular exercises on the Services. They are not a qualification, accreditation, assessment of competence or endorsement.

6.6 CPD. We do not promise that any activity on the Services will be recognised for continuing professional development (CPD) or similar purposes by any law society, regulator, university or other body. Users must check the requirements that apply to them.

7. Subscriptions, Fees and billing.

7.1 Subscriptions. Paid subscriptions are offered on a monthly or annual basis, or under an Order Form, at the Fees shown at the time of purchase. This clause 7 applies to subscriptions bought directly from us, on our website or under an Order Form or invoice.

7.2 Automatic renewal. Unless the Order Form says otherwise, subscriptions automatically renew at the end of each subscription period for the same period, until cancelled under clause 8. For annual subscriptions, we will email you a reminder at least 14 days before each renewal, stating the renewal date and the Fees that will apply.

7.3 Card payments. Card payments are processed by Stripe. By subscribing, you authorise us (through Stripe) to charge your nominated payment method the applicable Fees at the start of each subscription period until you cancel. Your use of Stripe is subject to Stripe’s terms.

7.4 Invoices for Organisations. Where we agree to invoice an Organisation, Fees are payable within 30 days of the invoice date, in Australian dollars, by the payment method stated on the invoice, unless the Order Form says otherwise.

7.5 GST. Unless stated otherwise, Fees are inclusive of GST. If GST applies to a supply under these Terms and the Fees are stated as exclusive of GST, you must pay an additional amount equal to the GST. We will issue a valid tax invoice.

7.6 Price changes. We may change our Fees. We will give you at least 30 days’ notice by email or notice on our website before a price increase applies to you. An increase takes effect from your next renewal, not during a prepaid subscription period. If you do not agree, you may cancel before the increase takes effect.

7.7 Late payment and suspension for non-payment. If an amount is overdue, we will notify you. If it remains unpaid 14 days after that notice, we may suspend access to paid features until payment is received. We will not suspend for an amount you dispute in good faith while you are working with us to resolve the dispute.

7.8 Taxes and charges. You are responsible for any bank, card or currency conversion fees charged by your own financial institution.

8. Cancellation and refunds.

8.1 Cancelling. You can cancel a subscription at any time in your account settings or by emailing customerservice@aiaccuracylab.com. Cancellation takes effect at the end of the current subscription period: when you cancel, your subscription stops renewing and you keep access until the end of the period you have already paid for. Organisations on an Order Form may cancel in accordance with the Order Form.

8.2 Refunds. Refunds are available as required by the Australian Consumer Law, and as expressly stated in these Terms (clause 21.4).

8.3 Nothing in this clause 8 limits any refund or other remedy you may have under the ACL (see clause 18).

9. Acceptable use.

9.1 You must not, and must not allow anyone else to:

(a) upload, paste or submit any material that you do not own or have the right to use for this purpose;

(b) upload client confidential information, legally privileged material or personal information unless you are authorised to do so and have any notices and consents required by law (see clause 10.5);

(c) use any exercise or Platform Content as, or represent it to be, real legal authority, or use it in any court, tribunal, legal advice or assessment as a statement of the law;

(d) copy, scrape, crawl, harvest or systematically download Platform Content, or use automated means to access the Services, except through features we provide (such as CSV export);

(e) reverse engineer, decompile, disassemble or attempt to derive the source code, models, prompts or answer keys of the Services, except to the extent the law does not allow this restriction;

(f) resell, sublicense, rent, share or otherwise make the Services available to anyone other than your authorised Users, or use them to build a competing product;

(g) share accounts, sign-in links or class codes with unauthorised people;

(h) interfere with, disrupt, probe or test the security of the Services without our written permission, or introduce malware;

(i) use the Services to harass, defame or harm any person, or to upload unlawful, offensive or harmful material;

(j) attempt to bypass usage limits, access controls or AI safety measures; or

(k) use the Services in breach of any law, including privacy, copyright and anti-spam laws.

9.2 We may remove or disable access to any material that we reasonably believe breaches this clause 9.

9.3 Objectionable material. For clause 9.1(i), objectionable material includes material that is sexually explicit; that promotes violence, self-harm or terrorism; that is hateful, discriminatory, harassing, bullying or threatening towards any person or group; that is defamatory; that exploits or endangers children; that discloses another person’s personal information without authority; or that infringes another person’s rights or breaches any law. Exercises with deliberately planted errors are not objectionable material just because they contain false or fictional legal content.

9.4 Reporting content and Users. If you see content on the Services (including a Custom Lab exercise or other material uploaded or published by a User) that you believe is objectionable, unlawful or in breach of these Terms, or a User who is behaving abusively, you can report it using the “Report” option in the website, or by emailing customerservice@aiaccuracylab.com. Please tell us what the content is and where it appears, and why you are reporting it. School Students may also tell their teacher.

9.5 How we respond. We will acknowledge reports promptly and review them as soon as reasonably practicable. Where we reasonably consider it appropriate, we may remove or disable the content, notify the relevant Organisation or Instructor, and suspend or remove the User responsible (clause 21.2). We may also report material to the police, the eSafety Commissioner or another authority where the law requires it or it is otherwise appropriate. We may apply automated and human filtering to uploads and to AI-generated output to stop objectionable material from being posted.

9.6 Blocking and removing Users. Organisation administrators and Instructors can remove a User from a class or cohort, or block a User’s access to their Organisation’s account, at any time. We may block a User from all or part of the Services under clause 21.2. If we add features that let Users interact directly with each other, you will also be able to block individual Users from contacting you.

10. Customer Content.

10.1 You own your content. As between you and us, you (or your licensors) retain all rights, title and interest in Customer Content. We do not claim ownership of it.

10.2 Licence to us. You grant AI Accuracy Lab a non-exclusive, worldwide, royalty-free licence, for the term of your use of the Services and any retention period under clause 22, to host, store, copy, process, transmit, adapt and display Customer Content, including by sending it to our third-party AI providers, solely to provide, secure and support the Services for you and to comply with the law. You may sublicense this right only to our service providers acting on our behalf.

10.3 AI processing and no training. Customer Content may be processed by third-party AI providers. We will not use Customer Content to train or fine-tune AI models, and we will not permit our AI providers to do so. If we add an AI provider that processes Customer Content outside Australia, we will give Organisations at least 30 days’ notice beforehand.

10.4 Privacy and retention. Customer Content is private to your Organisation, retained and deleted in line with the retention settings you choose and our Privacy Notice, and subject to an audit log.

10.5 Your responsibility for uploads. You are responsible for Customer Content and for ensuring that uploading and processing it through the Services is lawful, including that:

(a) you have all rights, licences and permissions needed to upload it and to grant the licence in clause 10.2;

(b) it does not include personal information, client confidential information or legally privileged material unless you are authorised to upload it and have given any notices and obtained any consents required by law; and

(c) its use on the Services does not infringe any person’s intellectual property, confidentiality or privacy rights, or breach any professional obligation that applies to you.

10.6 Outputs. As between you and us, and subject to our rights in Platform Content and the underlying templates, exercise formats and methods, exercises generated from your Customer Content in Custom Lab belong to you, and you may use them for your own training purposes.

11. Schools and School Students.

11.1 If you are a school or a teacher setting up a class, you are responsible for:

(a) deciding that the Services are suitable for your students and approving their use in accordance with your school’s policies and any education department or sector requirements;

(b) giving students and parents or carers any required notices and obtaining any consents required by your school’s policies or the law;

(c) supervising students’ use of the Services; and

(d) only entering the minimum student information needed (a first name or nickname).

11.2 We do not market to School Students, and we handle School Student information as set out in our Privacy Notice.

12. Our intellectual property.

12.1 Ownership. AI Accuracy Lab and its licensors own all intellectual property rights in the Services and Platform Content, including the software, exercise designs, fictional authorities, scenarios, rubrics, answer keys, certificates, branding and the “AI Accuracy Lab” name and logos. Nothing in these Terms transfers those rights to you.

12.2 Licence to you. Subject to these Terms and payment of any applicable Fees, we grant you a limited, non-exclusive, non-transferable, revocable licence, for your subscription term, to access and use the Services and Platform Content for your own (or your Organisation’s internal) educational and training purposes.

12.3 Exported reports. You may use dashboards, CSV exports and certificates generated for your account for your internal records and to show completion.

12.4 Feedback. If you give us suggestions, ideas or feedback about the Services, we may use them without restriction or payment to you. Feedback does not include your Customer Content.

13. Third-party services.

13.1 The Services rely on, and may link to or integrate with, third-party services, including payment processing (Stripe), hosting and infrastructure (Amazon Web Services), email delivery (Amazon SES), AI providers, and, in future, learning management systems and single sign-on providers.

13.2 We are not responsible for third-party services that you choose to connect or use, and your use of them may be subject to their own terms. To the maximum extent permitted by law (and subject to clause 18), we are not liable for the acts, omissions, availability or outputs of third-party services.

14. Export control and sanctions.

14.1 Export control and sanctions. You represent and warrant that:

(a) you are not located in a country or region that is subject to a United States Government embargo, or that has been designated by the United States Government as a “terrorist supporting” country or region;

(b) you are not listed on any United States Government list of prohibited or restricted parties;

(c) you are not a person or entity designated or listed under Australian sanctions laws (including the Autonomous Sanctions Act 2011 (Cth) and the Charter of the United Nations Act 1945 (Cth)), or owned or controlled by such a person or entity; and

(d) you will not use, export or re-export the Services in breach of any applicable export control or sanctions law.

You must tell us promptly if any of these statements stops being true. We may suspend or terminate access under clauses 21.2(d) and 21.3 if we reasonably believe this clause has been breached.

15. Privacy.

15.1 We handle personal information in accordance with our Privacy Notice, which forms part of these Terms. Organisations must comply with their own privacy obligations in using the Services, including in relation to Customer Content and their Users’ information.

16. Confidentiality (Organisations).

16.1 Confidential Information means non-public information disclosed by one party to the other in connection with the Services that is marked confidential or would reasonably be understood to be confidential, including Customer Content (in our hands) and non-public pricing, product plans and security information (in yours). It does not include information that is or becomes public other than through a breach of this clause, was already lawfully known to the recipient, or is independently developed or lawfully received from a third party.

16.2 Each party must keep the other’s Confidential Information confidential, use it only to perform or receive the Services, and disclose it only to its personnel, contractors, service providers and advisers who need to know it and are bound by confidentiality obligations, or where required by law (after giving the other party notice where lawful and practicable).

16.3 This clause 16 survives termination for 3 years, and indefinitely for Customer Content and trade secrets.

17. No warranties.

17.1 This clause is subject to clause 18.

17.2 To the maximum extent permitted by law, the Services, Platform Content, AI output, certificates and all other materials are provided “as is” and “as available”, and AI Accuracy Lab makes no guarantees, promises, warranties or representations of any kind, whether express, implied, statutory or otherwise. In particular, AI Accuracy Lab does not guarantee, promise or warrant that:

(a) the Services, Platform Content or any AI output are accurate, complete, current or free of errors (other than the errors deliberately included in exercises), or that every planted error will be correctly identified in answer keys;

(b) the Services will be available, uninterrupted, timely, secure or free of bugs, viruses or data loss, or meet any level of uptime;

(c) the Services are fit for any particular purpose or will meet your requirements or produce any particular learning, assessment or professional outcome;

(d) any activity or certificate will be recognised for CPD or any other purpose by any law society, regulator, university or other body; or

(e) any defects will be corrected.

17.3 To the maximum extent permitted by law, all terms, conditions, warranties and guarantees that would otherwise be implied into these Terms by statute, the general law or custom are excluded.

18. Your rights under the Australian Consumer Law.

18.1 This clause 18 prevails over every other clause of these Terms.

18.2 Non-excludable rights. Our Services come with guarantees that cannot be excluded under the ACL. Nothing in these Terms (including clauses 8, 13, 17, 19 and 20) excludes, restricts or modifies any consumer guarantee, right or remedy under the ACL or any other law that cannot lawfully be excluded, restricted or modified (Non-excludable Rights). Those clauses apply only to the extent permitted by law.

18.3 Limitation for services not ordinarily acquired for personal use. Where the Services are not of a kind ordinarily acquired for personal, domestic or household use or consumption, and to the extent permitted by section 64A of the ACL, our liability for a failure to comply with a consumer guarantee is limited, at our option, to:

(a) supplying the Services again; or

(b) paying the cost of having the Services supplied again.

19. Limitation and exclusion of liability.

19.1 This clause is subject to clause 18.

19.2 Exclusion. To the maximum extent permitted by law, AI Accuracy Lab is not liable to you or any other person for any loss, damage, cost or expense of any kind (whether direct, indirect, special or consequential) arising out of or in connection with the Services, these Terms, any Platform Content, AI output, Customer Content or certificate, or any reliance on any of them, however caused, and whether in contract, tort (including negligence), under statute or otherwise.

19.3 Specific exclusions. Without limiting clause 19.2, and to the maximum extent permitted by law, AI Accuracy Lab is not liable for any:

(a) indirect, consequential, special or incidental loss;

(b) loss of or corruption to data (including Customer Content);

(c) loss of profits, revenue, business, opportunity, contracts or anticipated savings;

(d) loss of goodwill or reputation;

(e) loss arising from any use of exercise content or AI output as real legal authority, or any failure to verify sources; or

(f) loss arising from third-party services, unavailability or downtime.

19.4 Cap (fallback). To the extent that any liability of AI Accuracy Lab cannot lawfully be excluded under clauses 19.2 and 19.3, and subject to clause 18.3, AI Accuracy Lab’s total aggregate liability arising out of or in connection with the Services and these Terms is limited to the total Fees you paid to AI Accuracy Lab in the 12 months before the event giving rise to the liability, or AUD $100 if you have paid no Fees.

19.5 Mitigation and contribution. Our liability is reduced to the extent that any loss is caused or contributed to by you, your Users or a third party, or by your failure to comply with these Terms.

20. Indemnity.

20.1 Organisations and business customers. If you are not a Consumer, you indemnify AI Accuracy Lab and its officers, employees and contractors against all loss, damage, liability, costs and expenses (including reasonable legal costs) arising out of or in connection with any claim by a third party relating to:

(a) Customer Content, including any claim that Customer Content, or our processing of it in accordance with these Terms, infringes any intellectual property, confidentiality or privacy rights or breaches any law or professional obligation;

(b) your or your Users’ breach of these Terms; or

(c) your or your Users’ misuse of the Services, including use of exercise content as real legal authority,

except to the extent the loss is caused by AI Accuracy Lab’s breach of these Terms, negligence or wilful misconduct.

20.2 Consumers. If you are a Consumer, you are liable to AI Accuracy Lab only for loss that AI Accuracy Lab suffers, as a reasonably foreseeable result, because of your breach of these Terms (including uploading Customer Content in breach of clauses 9 or 10.5), your infringement of a third party’s intellectual property rights, or your misuse of the Services, and that liability is reduced to the extent AI Accuracy Lab caused or contributed to the loss.

21. Suspension and termination.

21.1 By you. You may stop using the Services at any time and cancel under clause 8.

21.2 Suspension by us. We may suspend your or any User’s access to all or part of the Services, acting reasonably:

(a) for non-payment under clause 7.7;

(b) if we reasonably believe there has been a material breach of clause 9 or clause 10.5;

(c) if needed to prevent or respond to a security threat, misuse or harm to any person; or

(d) if required by law or a regulator, including under sanctions laws (see clause 14.1).

Where reasonably practicable, we will notify you beforehand, explain why, and restore access promptly once the issue is resolved.

21.3 Termination by us for cause. We may terminate your account or these Terms by notice if you materially breach these Terms and (where the breach can be remedied) do not remedy it within 14 days of our notice, or immediately if the breach cannot be remedied, or if you become insolvent (for Organisations).

21.4 Termination by us for convenience. We may stop providing the Services, or terminate your account for any other reason. If we do, we will refund a prorated amount of any prepaid Fees for the period after termination.

22. When your account ends: exporting and deleting data.

22.1 On termination or expiry, your licence under clause 12.2 ends and you must stop using the Services.

22.2 Export period. For 30 days after termination or expiry (other than termination for your material breach of clause 9), Organisation administrators and Instructors can export reports and Customer Content using the available export features, or ask us to help.

22.3 Deletion. After the export period, we will delete or de-identify Customer Content and account data in our active systems within 30 days, and from backups within a reasonable period after that, except to the extent we are required by law to keep it or need it to resolve a dispute. You can also delete your own account at any time, at aiaccuracylab.com/delete-account.html or in the app. We then delete your account data straight away, including your certificates, and backups are overwritten within 35 days (Privacy Notice clause 18). Organisations may ask for earlier deletion.

22.4 Accrued rights and survival. Termination does not affect rights and liabilities that accrued before termination. Clauses 6, 8, 10.1, 12.1, 12.4, 16, 17 to 20, 22, 24 and 26 survive termination.

23. Changes to these Terms.

23.1 We may update these Terms from time to time, for example to reflect changes to the Services, the law or our business.

23.2 Right to terminate. If you do not agree to a change, you may cancel your subscription by notifying us. If you keep using the Services after the change takes effect, the updated Terms apply to you.

23.3 Changes do not apply to an Order Form during its fixed term unless the Organisation agrees in writing.

24. Dispute resolution.

24.1 Negotiation first. If a dispute arises out of or in connection with these Terms or the Services, the party raising it must give the other written notice describing the dispute. The parties must then try in good faith to resolve it by negotiation, including by a meeting (which may be virtual) between authorised representatives, within 20 business days of the notice.

24.2 Mediation. If the dispute is not resolved under clause 24.1, either party may refer it to mediation by a mediator agreed by the parties in Sydney, with costs of the mediator shared equally.

24.3 Court proceedings. A party may not start court proceedings about a dispute (other than for urgent interim or injunctive relief) until clause 24.1 has been followed.

24.4 Consumers. Nothing in this clause 24 prevents a Consumer from contacting a consumer protection regulator (such as NSW Fair Trading) or applying to a court or tribunal that has jurisdiction over consumer claims.

25. Force majeure.

25.1 We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, civil unrest, industrial action, government action, power, internet or telecommunications failures, cyber attacks not caused by our failure to take reasonable security measures, or outages of third-party hosting, AI or payment providers. We will notify you and take reasonable steps to minimise the effect. If an event continues for more than 30 days, either party may terminate the affected subscription by notice, and we will refund prepaid Fees for the unused period.

26. General.

26.1 Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign or novate these Terms to a related body corporate or a purchaser of all or part of our business on notice to you, provided the assignee agrees to be bound by these Terms and the assignment does not materially reduce your rights.

26.2 Notices. We may give notices to you by email to the address associated with your account or by notice on our website. You may give notices to us by email to customerservice@aiaccuracylab.com. An email notice is taken to be received at the time it is sent unless the sender receives an automated message that it was not delivered.

26.3 Entire agreement. These Terms, the Privacy Notice and any Order Form are the entire agreement between us about their subject matter and replace any earlier agreements, representations or understandings, subject to clause 18.

26.4 Relationship. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.

26.5 Severability. If any part of these Terms is void, unenforceable or unfair (including under the ACL), that part is to be read down to the extent necessary or, if it cannot be read down, severed, and the rest of these Terms continues in effect.

26.6 Waiver. A failure or delay in exercising a right is not a waiver of that right. A waiver is effective only if it is in writing.

26.7 Governing law and jurisdiction. These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the courts entitled to hear appeals from them.

26.8 Interpretation. Headings are for convenience only. “Including” and similar words do not limit what else may be included. References to legislation include amendments and replacements.
